Terms of Service

These Terms of Service govern the use of the website h-studio.io, operated by Hartung Coding OÜ. By using our website and services, you agree to these Terms. If you do not agree, please discontinue using the website. These Terms of Service apply to business-to-business (B2B) relationships. Consumer protection provisions (e.g., statutory withdrawal rights) do not apply unless explicitly stated otherwise.

H-Studio provides IT services including software and web development, app design, marketing automation, and related consulting. All services are defined in individual statements of work or agreements and invoiced directly to the client.

Payments are processed via invoicing. Payment terms, including fees and due dates, are defined in individual agreements. Invoices are issued electronically and deemed equivalent to written form. In case of late payment, default interest may apply in accordance with Estonian law (reference rate published by the Bank of Estonia + 8%).

Project scope, milestones, and delivery dates may be adjusted by mutual written confirmation (email is sufficient). Ongoing projects may be cancelled by the Client with written notice; all work performed up to the effective cancellation date will be invoiced proportionally.

We comply with the EU GDPR and relevant Estonian data protection laws. All personal data is processed in accordance with our Privacy Policy. We never sell or disclose personal information to third parties without consent, unless required by law or necessary to perform the contract.

This website uses cookies in compliance with EU and Estonian law. Non-essential cookies are only activated after consent via the cookie banner. Details can be found in our Cookie Policy. You can manage or disable cookies through your browser settings.

Clients agree to provide accurate project information, respect intellectual property, and use our services only for lawful purposes. Clients are responsible for necessary access, materials, and approvals to enable delivery.

All deliverables, code, and design assets remain the intellectual property of H-Studio until full payment. Upon full payment, the Client obtains the usage rights specified in the individual contract. Unless explicitly agreed otherwise in writing, source code is licensed to the Client on a non-exclusive, worldwide, perpetual basis for the Client's internal business purposes.

To the maximum extent permitted by law, Hartung Coding OÜ shall not be liable for indirect or consequential damages, loss of profits, or data loss. The total aggregate liability arising out of or related to the services shall not exceed the total fees paid by the Client for the specific service giving rise to the claim in the 12 months preceding the event. The foregoing limitations do not apply to liability caused by intent or gross negligence or other liability that cannot be limited under mandatory law.

Parties agree that electronic communications, approvals, and e-signatures are deemed equivalent to written form and are legally binding.

Neither party shall be liable for delays or failures caused by events beyond its reasonable control, including outages, supplier failures, acts of government, or force majeure events. Each party shall use reasonable efforts to mitigate the effects of such events.

These Terms are governed by the laws of the Republic of Estonia. The place of jurisdiction is Tallinn, unless otherwise required by mandatory law. For consumers (if applicable), mandatory local consumer rights remain unaffected. We encourage resolving any disputes amicably before pursuing legal action.

We reserve the right to update these Terms at any time. Updates become effective upon publication on this website. Material changes will be notified on this page and apply prospectively. For ongoing projects, changes take effect upon mutual agreement or the next renewal/statement of work.
